Financing a Phinisi Acquisition

How a phinisi purchase is actually paid for: staged against milestones, held through the right structure, and offset by charter if you want it to be.

Quick answer

Payment is staged against milestones — offer, survey, transfer — with the beneficiary matching the contracting entity at every stage, which is the clause that protects a foreign buyer paying into Indonesia.

  • Foreigners hold the vessel through a PT PMA carrying the flag, or through a bareboat arrangement.
  • Placed into managed charter, a hull can earn against the cost of owning it from the first season.
  • Specific lender terms are quoted by the desk per deal rather than published — ask for them with a vessel in mind.

How payment works

Staged Against Milestones

Not a lump sum, and not an escrow account you have to take on trust.

Offer
Accepted

Priced in USD against an itemised cost basis, not a headline number

Survey
Passed

Independent marine survey, sea trial and document audit — conditions of sale, not extras

Transfer
Completed

Beneficiary matches the contracting entity at every stage

This section previously published loan terms — LTV 50–65%, 7–10 year term, 6.5–9.5% USD, 35–50% equity. None had a source and all were retired. The desk quotes real terms per deal.

Three routes

How Buyers Actually Fund It

Two of these need no external lender at all.

From USD 153,000

Cash against a working hull

The lowest entry on the book is VIP II at USD 153,000 — a sound, operating 22 m with five cabins. Buying a working hull outright and refitting to your own standard avoids financing altogether, and is why the working-hull band exists.

6–14% indicative

Offset by managed charter

Place the vessel with the group’s operations team — the same crews, standards and calendar that run its own fleet — and charter income runs against the cost of ownership. Indicative only, never guaranteed, and modelled per owner with a downside case.

Quoted per deal

External lending

Terms depend on the hull, its class and survey status, and whether charter contracts transfer with it. Those are the four factors that let a lender price the asset at all — so the conversation starts with a specific vessel, not a rate card.

Underwriting

What a Lender Is Actually Pricing

Four factors set the market and they are the same four a lender underwrites: hull age and the date of the last major refit; length and cabin count; class and survey status; and whether the vessel transfers with charter contracts attached.

The previous version of this page named three Singapore lenders, two Hong Kong family offices and one Indonesian state bank, and published LTV bands and rates for each. None of it had a source and all of it was retired. Terms come from the desk, against a named vessel.

Documentation depth Supplied
Every listing arrives with survey records, refit invoices, charter revenue where relevant and crew notes — which is exactly the trail a lender needs and the thing a private-sale hull cannot produce.
Class and survey status Condition of sale
Current class and a clean independent survey are what let a lender or an insurer price the asset at all. Both are conditions of sale in the standard contract.
Flag and structure PT PMA
Indonesian flag operation requires a PMA structure and permits with specific legal requirements. Western counsel had little practical experience with that stack until recently.

Structures

Three Ways to Reduce Day-One Cash

None of these is a rate card. Each is a structure the desk has used, quoted against a named vessel.

  1. Offer · survey · transfer

    Staged payment against milestones

The standard contract already spreads payment across three milestones rather than asking for a lump sum at signing, and the beneficiary matches the contracting entity at every stage. For most buyers this is the whole of the financing question.

Best fit: buyers with the capital, who want the protection rather than the leverage.

  2. Quoted per project

    Shipyard staged build

A new build is quoted per project and paid across the build rather than at delivery, which spreads the cost without an external lender. Design, construction and delivery run through the group’s own yard relationships.

Best fit: buyers who want a specific hull and can wait for it.

  3. 6–14% indicative

    Charter yield against ownership

Place the vessel into managed charter and it earns while you hold it, on the same crews, standards and calendar as the group’s own fleet. Vessels of this class charter at USD 1,800–30,000 per yacht per night.

Indicative only and never guaranteed. A written projection with a downside case is prepared per owner.
